1. ACCEPTANCE OF TERMS

BY ACCESSING, DOWNLOADING, INSTALLING, OR USING THE PSSLY MOBILE APPLICATION ("APP"), YOU ("USER," "YOU," OR "YOUR") AGREE TO BE BOUND BY THESE TERMS OF SERVICE ("TERMS"). IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE APP.

These Terms constitute a legally binding agreement between you and Pssly ("we," "us," "our," or "Company"). Your continued use of the App following any changes to these Terms constitutes acceptance of those changes.

2. CHANGES TO TERMS

We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion, with or without notice. Changes may be made for any reason including but not limited to: legal compliance, business operations, feature updates, security improvements, or policy changes.

When we make material changes, we will notify you by: (a) updating the "Last Updated" date above, (b) posting a notice in the App, or (c) sending an email to your registered address. Your continued use of the App after changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

If you do not agree to modified Terms, your sole remedy is to discontinue use of the App and delete your account.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirements

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet this age requirement. If we discover that a user is under the minimum age, we will immediately terminate their account and delete all associated data.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for:

6. ACCOUNT TERMINATION AND SUSPENSION

We reserve the right to suspend, restrict, disable, or terminate your account and access to the App at any time, for any reason or no reason, with or without notice, including but not limited to:

ACCOUNT TERMINATION MAY OCCUR EVEN FOR PAYING SUBSCRIBERS. Violations of these Terms, including uploading prohibited content, harassment, or illegal activity, will result in immediate termination without refund. We are under no obligation to provide refunds or credits for terminated accounts, regardless of subscription status or payment history.

You may terminate your account at any time through the App settings. Termination does not entitle you to any refund for unused subscription time. You are responsible for canceling your subscription through the applicable app store (Google Play or Apple App Store) before deleting your account.

7. INTELLECTUAL PROPERTY RIGHTS

You retain ownership of content you upload to the App. By uploading content, you grant Pssly a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, modify, adapt, publicly display, publicly perform, and create derivative works from your content for the purposes of:

The App, including its design, features, functionality, text, graphics, logos, icons, images, and software, is owned by Pssly and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the App.

"Pssly" and associated logos are trademarks or registered trademarks of Pssly. You may not use our trademarks without our prior written consent.

8. SUBSCRIPTIONS AND PAYMENTS

8.1 Premium Subscriptions

Premium features are available through in-app subscriptions processed via Google Play Store or Apple App Store. By purchasing a subscription, you agree to pay all applicable fees and taxes.

8.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You are responsible for managing your subscription through your device's app store settings.

8.3 Pricing Changes

We reserve the right to change subscription prices at any time. Price changes will apply to new subscriptions or renewals after notice is provided. Continued use after a price change constitutes acceptance.

8.4 Refunds

All sales are final. Refunds are subject to the refund policies of Google Play Store or Apple App Store. We do not provide direct refunds. Account termination for violations does NOT entitle you to any refund or credit for unused subscription time.

8.5 Payment Processing

Payments are processed by third-party payment processors (Google Play, Apple App Store, RevenueCat). We do not store your credit card information. Payment disputes should be directed to the applicable payment processor.

9. PRIVACY AND DATA COLLECTION

Your use of the App is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSSLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Pssly, its officers, directors, employees, agents, licensors, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

13. DISPUTE RESOLUTION AND ARBITRATION

13.1 Informal Resolution

Before initiating arbitration or litigation, you agree to first contact us to attempt informal resolution of any dispute. Contact information is provided at the end of these Terms.

13.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration, except as provided below. Arbitration will be conducted by a neutral arbitrator in accordance with the rules of a recognized arbitration organization.

13.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. Claims may not be consolidated with claims of other users.

13.4 Exceptions

Either party may seek injunctive or equitable relief in court for intellectual property infringement or unauthorized access to the App.

14. GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Pssly operates, without regard to conflict of law principles. Any legal action that is not subject to arbitration shall be brought exclusively in the courts of that jurisdiction, and you consent to the personal jurisdiction of such courts.

15. LOCATION-BASED SERVICES

The App uses location services to enable features such as mapping and location-tagged posts. You can control location permissions through your device settings. Disabling location services may limit certain App functionality.

17. EXPORT CONTROLS

You may not use or export the App in violation of export control laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country.

18. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to reflect the parties' intent to the extent possible.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Pssly regarding the App and supersede all prior agreements and understandings.

20. ASSIGNMENT

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms and your account to any entity at our discretion, including in connection with a merger, acquisition, or sale of assets.

21. NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. A waiver of any breach does not waive subsequent breaches.

22. SURVIVAL

Provisions that by their nature should survive termination will survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution.

24. ACKNOWLEDGMENT

BY USING PSSLY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, YOU MUST NOT USE THE APP.
